This page explains the terms by which you may use our online services, website, and software provided on or in connection with the service (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms of Service and the policies it incorporates (the “Agreement”). This Agreement applies to all visitors, registered users, subscribers and others who access the Service (“users”).
1. Use of our Service
Eligibility
You may use the Service only if you can form a binding contract with Yuan Talks, and only in compliance with this Agreement and all applicable local, state, national, and international laws, rules and regulations. Any use or access to the Service by anyone under 16 is strictly prohibited and in violation of this Agreement. The Service is not available to any users previously removed from the Service by Yuan Talks.
The Service
Subject to the terms and conditions of this Agreement, you are hereby granted a non-exclusive, limited, non-transferable, freely revocable license to use the Service and access our Content, solely to the extent permitted by the features of the Service and your Subscription (if any). Yuan Talks reserves all rights not expressly granted herein in the Service and Yuan Talks’ Content (as defined below). Yuan Talks may terminate this license at any time for any reason or no reason.
Accounts
Your Yuan Talks account gives you access to the Service. Accounts are individual. Sharing accounts with multiple people, including people at the same company is strictly forbidden and may result in loss of Subscription without refund or the suspension or deletion of your account. We may maintain different types of accounts for different types of users.
When creating your account, you must provide accurate information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must reset your password and notify Yuan Talks immediately of any breach of security or unauthorized use of your account. Yuan Talks will not be liable for any losses caused by any unauthorized use of your account.
By providing Yuan Talks your email address you consent to our using the email address to send you Service-related notices, including any notices required by law, in lieu of communication by postal mail. We may also use your email address to send you other messages, such as changes to features of the Service and special offers. To opt out, use the unsubscribe methods in our emails.
Prohibited Use
You agree not to engage in any of the following prohibited activities:
- Copying, distributing, or disclosing any part of the Service in any medium, including automated or non-automated scraping;
- Using automated systems (e.g., robots, spiders, offline readers) to access the Service in a manner that sends more requests than a human could reasonably produce with a standard web browser;
- Transmitting spam, chain letters, or other unsolicited communications;
- Attempting to interfere with, compromise, or decipher transmissions to or from the Service servers;
- Taking actions that impose, or may impose at our sole discretion, an unreasonable or disproportionately large load on our infrastructure;
- Uploading viruses, worms, or other malicious software;
- Collecting or harvesting personally identifiable information, including account names;
- Using the Service for commercial solicitation purposes;
- Impersonating another person or misrepresenting your affiliation, committing fraud, or hiding your identity;
- Interfering with the proper operation of the Service;
- Accessing content through unauthorized technology or methods;
- Bypassing measures used to prevent or restrict access, copying, or use of the Service or its content;
- Monetizing Yuan Talks content through advertising, subscriptions, or other means;
- Using the Service to develop software, including training machine learning or AI models.
We may, without prior notice, modify the Service, stop providing features, or create usage limits. We may temporarily or permanently suspend or terminate your access to the Service for any reason, including if you violate this Agreement, or for no reason. Termination does not relieve you from obligations under this Agreement.
2. Proprietary Rights
The Service and all materials provided through it, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, and photographs (“Our Content”), as well as all related Intellectual Property Rights, are the exclusive property of Yuan Talks. Except as expressly provided in this Agreement, nothing herein shall be construed as granting you any license or other rights under such Intellectual Property Rights. You may not sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from any Our Content. Any use of Yuan Talks’ Content not expressly authorized by this Agreement is strictly prohibited.
3. Subscriptions & Payments
Billing Policies
To access much of our Content and certain aspects of the Service, you must have a paid subscription. Yuan Talks may add new services for additional fees and charges, or amend fees and charges for existing services, at any time in its sole discretion. Any change to our pricing or payment terms shall become effective in the billing cycle following notice of such change to you as provided in the Pricing and Payment Terms.
Subscriptions
Some of our Content is only available through subscriptions of various durations (“Subscriptions”).
Duration
Subscriptions are continuous and begin on the date you first purchase a Subscription. Subscriptions automatically renew for successive periods of the same duration as your initial Subscription period (each, a “Period”) until canceled. Yuan Talks reserves the right to discontinue your Subscription in the event of a dispute between you and Yuan Talks, or if you have previously requested a chargeback that we successfully challenged.
Pricing changes
We reserve the right to change the cost of our Subscriptions and other offerings at any time. Any change will become effective only after the expiration of your current Subscription Period and after we provide you with notice of such change no fewer than fifteen (15) days before the end of the then-current Period.
Collection of Charges
We may suspend or cancel your Subscription if payment cannot be processed using the payment information you provided. If we are unable to collect charges through your chosen payment method, you agree that (a) we may take any lawful steps necessary to recover such charges, and (b) you will be responsible for all reasonable costs and expenses incurred in connection with the collection, including collection fees, court costs, and attorneys’ fees.
Cancelation
To cancel a Subscription bought through the Service, follow the instructions on the Membership page to locate and manage your Subscription. You may also contact us to cancel a Subscription. Following any cancelation, your Subscription access will continue until the end of your current Period.
4 Special offers
Yuan Talks may make available special Subscription offers to you or certain eligible groups. If you qualify and subscribe through a special offer, you will be billed the advertised special rate for the applicable promotional period and automatically renewed at the regular rate applicable to your Subscription type after that.
Free Trials
We may offer free trials of certain Subscriptions for a limited period. The specific terms of any free trial will be provided at the time of registration. At the end of the free trial, your payment method will be automatically billed on a recurring basis for the applicable Subscription.
For information on how to cancel a free trial, please see the “Cancellation” section above. We reserve the right, at our sole discretion, to modify or discontinue free trials at any time without prior notice.
No Refunds
You may cancel your Subscription at any time; however, no refunds will be issued for cancellations. If you cancel before the end of your billing cycle, you will retain access to your account until the end of that billing period.
If Yuan Talks suspends or terminates your account or this Agreement due to your breach of this Agreement, you acknowledge and agree that you will not be entitled to any refund or exchange for any unused portion of your subscription, license fees, content, data, or any other aspect of the Service.
Payment Information
All information you provide in connection with a purchase, subscription, or other monetary transaction through the Service must be accurate, complete, and current. You agree to pay all charges incurred using your chosen payment method, including credit card, debit card, Apple Pay, or bank transfer, at the prices in effect when such charges are incurred. You are responsible for any applicable taxes associated with such transactions.
By providing a payment method, you represent and warrant that you have the legal right to use it. You agree to promptly update your payment information to ensure timely payment. Any changes to your payment method will not affect charges already submitted to your chosen payment method prior to our reasonable opportunity to act on such changes. We may use updated payment method information provided by your issuing bank or payment network to process payments.
You must notify us promptly of any billing issues or errors. We will make reasonable efforts to address and resolve billing questions. You agree that we may contact you regarding billing or other service-related communications via email or other means, even if you have opted out of marketing messages or notices.
Promotional Codes
We may offer certain promotional, referral, discount, and coupon codes or similar offers (“Promos”) that may be redeemed for discounts on future services or other features related to the Service, subject to any additional terms that we establish. You agree that Promos: (i) must be used in a lawful manner; (ii) must be used for the intended audience and purpose; (iii) may not be duplicated, sold or transferred in any manner, or made available by you to the general public (whether posted to a public forum, coupon collecting service, or otherwise), unless expressly permitted by us; (iv) may be disabled or have additional conditions applied to them by us at any time for any reason; (v) may only be used pursuant to the specific terms that we establish; (vi) are not valid for cash or other credits or points; (vii) may expire prior to your use; (vii) are not valid on previous purchases.
5. No Professional Advice
If the Service provides professional information (for example, financial, legal or medical), such information is for informational purposes only and should not be construed as professional advice. No action should be taken based upon any information contained in the Service. You should seek independent professional advice from a person who is licensed and/or qualified in the applicable area.
6. Privacy
We respect the privacy of our users. By using the Service, you acknowledge and agree that your personally identifiable information and aggregate data may be collected, used, transferred, and processed in the Hong Kong SAR, PRC, in connection with the operation of the Service.
7. Security
Yuan Talks takes reasonable measures to protect the integrity and security of your personal information. However, we cannot guarantee that unauthorized third parties will never bypass our security measures or gain access to your information. By using the Service, you acknowledge and accept that you provide your personal information at your own risk.
8. Third-Party Links
The Service may include links to third-party websites, services, or other content that are not owned or controlled by Yuan Talks. Yuan Talks does not endorse, guarantee, or assume any responsibility for any such third-party sites, information, materials, products, or services. Your access to and use of any third-party website or service is at your own risk, and this Agreement and Yuan Talks’ Privacy Policy do not apply to your use of such sites. You expressly release and hold harmless Yuan Talks from any and all liability arising from your use of any third-party website, service, or content.
9. Indemnity
You agree to defend, indemnify and hold harmless Yuan Talks and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising out of or related to: (i) your use of and access to the Service, including any data or content transmitted or received by you; (ii) your violation of any term of this Agreement, including without limitation your breach of any of the representations and warranties above; (iii) your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights; (iv) your violation of any applicable law, rule or regulation; (v) any other information or content that is submitted via your account including without limitation misleading, false or inaccurate information; (vi) negligent or willful misconduct; or (vii) any other party’s access and use of the Service with your unique username, password or other appropriate security code.
10. No Warranty
The Service is provided on an “as-is” and “as-available” basis. Your use of the Service is at your own risk. To the maximum extent permitted by applicable law, Yuan Talks provides the Service without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Yuan Talks, its affiliates, subsidiaries, and licensors do not warrant that: (i) the content is accurate, complete, or reliable; (ii) the Service will meet your requirements; (iii) the Service will be uninterrupted, timely, secure, or error-free; (iv) defects or errors will be corrected; or (v) the Service is free from viruses or other harmful components.
Any content downloaded or obtained through the Service is done at your own risk. You are solely responsible for any damage to your computer, mobile device, or loss of data resulting from such use.
Some jurisdictions do not allow the exclusion of certain implied warranties, so some of the above disclaimers may not apply to you. This agreement gives you specific legal rights, and you may also have other rights that vary by jurisdiction.
11. Limitation of Liability
To the maximum extent permitted by law, Yuan Talks, its affiliates, agents, directors, employees, suppliers, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, goodwill, use, data, or other intangible losses, arising out of or related to your use of, or inability to use, the Service.
Yuan Talks is not responsible for any of the following: (i) errors, mistakes, or inaccuracies in content; (ii) personal injury or property damage resulting from use of the Service; (iii) unauthorized access to or use of our servers or any personal information stored therein; (iv) service interruptions or transmission failures; (v) malware, viruses, or other harmful components transmitted through the Service; (vi) errors or omissions in content or loss/damage resulting from the use of any content; or (vii) defamatory, offensive, or illegal conduct by third parties.
In no event shall Yuan Talks’ total liability exceed the amount you paid for the Service during the last six months.
This limitation applies regardless of the legal theory, including contract, tort, negligence, or strict liability, and even if Yuan Talks was advised of the possibility of such damages. Some jurisdictions do not allow limitations on incidental or consequential damages, so portions of this section may not apply to you.
The Service is operated from Hong Kong SAR, PRC. Yuan Talks does not guarantee that the Service is appropriate or available for use in other locations. Users accessing the Service from outside Hong Kong do so at their own risk and are responsible for compliance with all applicable local laws, including export and import regulations.
12. Dispute Resolution
Governing Law
You agree that the Service is operated solely from the Hong Kong Special Administrative Region of the People’s Republic of China (Hong Kong SAR, PRC) and that the Service shall be considered a passive platform that does not create personal jurisdiction over Yuan Talks, either specific or general, in jurisdictions outside Hong Kong SAR, PRC. This Agreement shall be governed by and construed in accordance with the laws of Hong Kong SAR, PRC, without regard to its conflict of laws principles. The parties acknowledge that this Agreement constitutes a transaction involving international commerce.
13. General
Assignment
This Agreement, and any rights or licenses granted under it, may not be transferred or assigned by you. Yuan Talks may assign this Agreement or any rights or obligations hereunder at its sole discretion. Any attempted transfer or assignment by you in violation of this provision shall be null and void.
Notification Procedures and Changes to the Agreement
Yuan Talks may, at its sole discretion, modify or update this Agreement from time to time. You should review this page periodically. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms of Service. If you do not agree to any of these terms or future updates, you should not use or access (or continue to access) the Service.
Entire Agreement; Severability
This Agreement, together with any amendments and any additional agreements you may enter into with Yuan Talks in connection with the Service, shall constitute the entire agreement between you and Yuan Talks concerning the Service. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect.
No Waiver
No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Yuan Talks’ failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
